Is Audit Mandatory for Companies in the UAE?

Determining whether a financial audit is mandatory for your business in the UAE depends on several factors, including your jurisdiction (Mainland vs. Free Zone) and the type of company structure you have established.

Mainland Companies (LLCs)

Under the UAE Commercial Companies Law (Federal Decree-Law No. 32 of 2021), all Mainland Joint Stock Companies and Limited Liability Companies (LLCs) are required to appoint an independent, UAE-licensed auditor. The auditor must examine the financial statements and present an audit report at the Annual General Assembly.

Free Zone Entities

For Free Zone companies, the requirement to undergo an audit varies by the specific Free Zone Authority. However, major free zones such as DMCC (Dubai Multi Commodities Centre), DAFZA (Dubai Airport Freezone), and JAFZA (Jebel Ali Free Zone) mandate annual financial audits for all registered entities to renew their trade licenses.

The Impact of UAE Corporate Tax

With the introduction of the UAE Corporate Tax (CT) regime, maintaining accurate financial records is no longer optional. While the Federal Tax Authority (FTA) may not require an audited financial statement from every single small business for tax filing purposes, Free Zone Persons claiming the 0% Qualifying Income exemption are strictly required to maintain audited financial statements.
